Acknowledgment & Binding Effect

By selecting “Accept & Continue,” you (“User”) expressly acknowledge that you have read, understood, and agree to be bound by: EKKE’s [Terms of Use]; (b) [Privacy Policy]; (c) [Return & Refund Policy]; and (d) [Shipping & Delivery Policy] (collectively, “EKKE Policies”).

Together, these documents constitute a single, legally binding agreement between you and Zion Collective Private Limited.

Eligibility and Authority

You represent that you are at least eighteen (18) years old and competent to contract under the Indian Contract Act, 1872. If you act on behalf of a business or entity, you warrant that you are authorised to bind that entity to this Agreement.

Incorporation of Policies

All EKKE Policies form an integral part of this Agreement and are deemed incorporated by reference. Use of the Platform constitutes acceptance of any subsequent updates to those Policies, which will be notified on the Platform.

Consent to Electronic Contracting and Data Processing

You consent to execution of this Agreement by electronic means pursuant to Section 10-A of the Information Technology Act, 2000.

You consent to EKKE collecting and processing your Personal Data for account creation, authentication, transaction management, customer support, and lawful business operations in accordance with the Digital Personal Data Protection Act, 2023 and EKKE’s Privacy Policy.

You may withdraw non-essential consent at any time through your account settings or the Privacy Centre; however, withdrawal shall not affect lawful processing already undertaken or services that require such data to function.

User Obligations

You agree to:

• provide true, accurate, and complete information during registration;
• maintain confidentiality of login credentials;
• use the Platform solely for lawful personal purchases and not for resale, fraud, or abuse; and
• promptly notify EKKE of any unauthorised use of your Account or suspected breach.

Platform Conduct and Content

All intellectual property on the Platform remains the property of EKKE or its licensors. You shall not copy, scrape, disassemble, or reverse-engineer any content or software. User-generated content is governed by Clause 16 of the Terms of Use.

Acknowledgements

You acknowledge that:

• EKKE operates as an e-commerce marketplace and may act as facilitator between Buyers and Sellers;
• products offered by third-party Sellers are subject to their respective warranties and compliance obligations;
• delivery timelines are indicative; and
• all returns, refunds, and warranties are administered per EKKE Policies.

Limitation of Liability

To the maximum extent permitted by law, EKKE shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of the Platform or services. EKKE’s aggregate liability shall not exceed the value of the product purchased by you forming the subject matter of the claim.

Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Courts at Rajkot, Gujarat, shall have exclusive jurisdiction over any disputes arising out of or in connection herewith.

General Disclaimer

By registering on, accessing, or using the EKKE website, mobile site, or mobile application (collectively, the “Platform”), you acknowledge and agree that your use of the Platform is at your sole risk. The Platform, all content, services, products, offers, and functionalities are provided on an “as is,” “as available,” and “with all faults” basis without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted under applicable law, EKKE disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, performance, non-infringement, data security, or compatibility.

EKKE makes no representation or warranty that:

• the Platform will be uninterrupted, timely, secure, or error-free;
• any defects will be corrected;
• information or content on the Platform will be accurate, reliable, or up-to-date; or
• that the Platform or the servers that make it available are free of viruses or other harmful components.

Marketplace Nature and Limited Role

EKKE operates as a digital marketplace and intermediary as defined under Rule 3(g) of the Consumer Protection (E-Commerce) Rules, 2020. Except where EKKE is expressly listed as the “Seller of Record,” all products and listings on the Platform are offered, supplied, and fulfilled by independent third-party Sellers.

Accordingly:

• EKKE is not a party to the underlying contract of sale between the Buyer and such Seller;
• EKKE does not manufacture, design, endorse, or guarantee any product or service sold by a Seller;
• all representations, warranties, guarantees, after-sales support, or fitness for purpose are solely those of the Seller or manufacturer; and
• EKKE shall not be liable for any non-delivery, defective, damaged, or counterfeit products, delayed fulfilment, or post-sale service issues.

In cases where EKKE itself acts as Seller of Record, EKKE’s obligations shall be strictly limited to those expressly set out in the Terms of Use, Return & Refund Policy, and Shipping & Delivery Policy.

User Responsibility and Representations

By using the Platform, you expressly represent, warrant, and undertake that you:

• are at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872;
• have provided accurate, complete, and verifiable information during registration;
• will maintain the confidentiality of your login credentials and accept full responsibility for all activities under your Account;
• will not use the Platform for unlawful, fraudulent, defamatory, obscene, harmful, or commercial-resale purposes;
• will not upload, post, or transmit any material that infringes intellectual property or privacy rights of any third party; and
• will comply with all applicable laws including the IT Act, DPDP Act, GST laws, FEMA, and the Consumer Protection Act.

Any breach of these obligations may result in immediate suspension or termination of your Account and forfeiture of any promotional benefits, credits, or offers.

Pricing, Payment, and Transaction Disclaimer

Prices and availability of products are subject to change without notice. EKKE does not warrant that descriptions, images, or pricing of products are accurate, complete, or error-free. In the event of any error, EKKE reserves the right to cancel or refuse any order and process a refund, if applicable.

All payments are processed through authorised payment gateways. EKKE is not responsible for:

• declined transactions, authorisation failures, or incorrect banking details;
• technical errors, network interruptions, or gateway downtime;
• misuse of payment instruments by unauthorised persons; or
• refunds delayed due to third-party banking or processing timelines.

All monetary transactions on the Platform are denominated in Indian Rupees (INR) and governed by Indian law and Reserve Bank of India regulations.

Data, Privacy, and Security Disclaimer

By creating an Account or transacting on EKKE, you consent to the collection, use, storage, and disclosure of your personal data in accordance with the Privacy Policy and the Digital Personal Data Protection Act, 2023.

While EKKE employs commercially reasonable security measures and encryption, you acknowledge that transmission of data over the internet is inherently insecure. EKKE does not guarantee that personal information or communications will be immune from unauthorised access, alteration, or misuse.

You are solely responsible for maintaining the confidentiality of your Account, login credentials, and associated devices. EKKE disclaims liability for losses resulting from compromised passwords, shared accounts, or user negligence.

External Links, Third-Party Services, and Advertisements

The Platform may contain hyperlinks to external websites, plug-ins, payment processors, or advertisements provided by third parties. EKKE has no control over, and assumes no responsibility for, the content, accuracy, privacy practices, or policies of such third-party platforms. Inclusion of any third-party link or advertisement does not constitute endorsement or recommendation by EKKE. You access such sites or services at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law:

• EKKE, its directors, officers, employees, affiliates, and service providers shall not be liable for any indirect, incidental, punitive, consequential, exemplary, or special damages, including without limitation, loss of profits, revenue, goodwill, or data;
• EKKE’s total cumulative liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you for the product or service that is the subject of the claim; and
• EKKE shall not be responsible for events beyond its reasonable control, including force majeure, acts of nature, strikes, cyber-attacks, or third-party service failures.

Intellectual Property Notice

All materials on the Platform, including logos, trademarks, designs, photographs, layouts, text, and software, are the property of EKKE or its licensors and are protected by applicable intellectual property laws. No part of the Platform or its content may be copied, reproduced, modified, distributed, or exploited for commercial use without EKKE’s prior written permission.

Indemnity

You agree to indemnify and hold harmless EKKE, its directors, officers, employees, agents, and affiliates from and against any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• your breach of this Disclaimer or the Terms of Use;
• your violation of any law or third-party rights; or
• your misuse of the Platform or EKKE’s services.

Governing Law and Jurisdiction

This Disclaimer and any dispute arising from or in connection with your use of the Platform shall be governed by and construed in accordance with the laws of India. Courts at Rajkot, Gujarat shall have exclusive jurisdiction.

EKKE: TERMS OF USE

This document is an electronic record under the Information Technology Act, 2000 and the rules thereunder. It is published in accordance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, outlining the rules, policies, and terms for access or use of the EKKE marketplace platform (the “Platform”).

These Terms of Use (“Terms”) govern your access to and use of the Platform operated by Zion Collective Private Limited (“EKKE”, “we”, “us”, “our”). By accessing or using the Platform, you agree to these Terms and all EKKE Policies including the Privacy Policy, Returns & Refunds Policy, Shipping & Delivery Policy, Payment & Wallet Policy, and Community Guidelines. If you do not agree, please do not use the Platform.

Definitions

• Account: Your registered profile on the Platform.
• Buyer/You/User: Any person accessing or placing an order.
• Seller: Third-party vendors listing products.
• Platform Fee: Charges for platform operations.
• Products: Goods listed by Sellers or EKKE.
• GT Charges: Goods transport charges collected on behalf of a Goods Transport Agency.
• Mediation Portal: EKKE’s online dispute and support portal.

Eligibility and Your Account

You must be competent to contract under the Indian Contract Act, 1872. You are responsible for maintaining confidentiality of your account and OTP-based login. EKKE may suspend accounts showing misuse or security risks.

Services and Scope

EKKE provides a marketplace platform to browse and purchase products listed by Sellers or EKKE. Fulfilment may vary by model. Category-level return, warranty, and delivery terms apply as shown on product pages.

Platform Role and Contracting

Unless EKKE is the Seller of Record, EKKE acts only as a facilitator. Contracts of sale are strictly between Buyer and Seller.

Your Responsibility and Acceptable Use

You must not post harmful, illegal, infringing, misleading, or abusive content, use bots, scrape data, misuse returns, vouchers, or engage in fraudulent behavior.

Account Moderation & Fraud Indicators

EKKE may restrict features or suspend accounts showing patterns like repeated delivery refusals, voucher misuse, payment failures, or excessive returns.

Listings, Pricing and Promotions

Prices are set by Sellers or EKKE and may vary. Errors may result in cancellation with refunds.

Orders and Contract Formation

Your order is an offer. Acceptance occurs on dispatch. EKKE may cancel orders for stockouts, risk, or compliance issues.

Product Information & Warranty

Product details are provided by Sellers. Colour variations or minor differences may occur.

Delivery, Open-Box & Risk

Delivery timelines are estimates. Claims of non-receipt must be raised within 5 days. Risk transfers on delivery confirmation.

Returns, Exchanges & Refunds

Returns must meet category-level conditions. Failed QC returns will be re-shipped. Refunds are initiated upon QC approval.

EKKE Credits & Promotions

EKKE Credits are non-transferable, non-cash, and misuse may result in suspension.

Payments & Verification

Payments must be made in INR through authorised gateways. Verification (PAN/ID) may be required for high-value orders.

Shipping, Platform Fee & GT Charges

Platform Fee, low-value fee, and GT Charges may apply as shown at checkout.

User-Generated Content

You retain ownership of content you submit but grant EKKE a license to use it. Content must follow community standards.

Intellectual Property

All Platform content and trademarks belong to EKKE or licensors. Personal use only.

Compliance with Laws

You must comply with all applicable Indian laws including IT Act, GST, PMLA, and Consumer laws.

Data Protection & Privacy

Your data is governed by the EKKE Privacy Policy and DPDP Act compliance.

Alteration Services

Altered products become non-returnable. Liability is limited as per category caps.

Customisation

EKKE acts only as a facilitator for customised orders.

Charges & Delivery

Fees may be levied based on order value, COD behavior, or return patterns.

Disclaimer of Warranties

Platform and services are provided “as is”; EKKE does not guarantee uninterrupted availability or product accuracy.

Limitation of Liability

EKKE’s liability is limited to the value of the product purchased.

Fraudulent or Invalid Orders

EKKE may cancel orders suspected to be bulk, fraudulent, or misusing vouchers.

Suspension & Termination

EKKE may terminate accounts for policy violations, fraud, or misuse.

Indemnity

You agree to indemnify EKKE against losses resulting from your breach of Terms or misuse.

Governing Law & Jurisdiction
